These terms govern how firms and their stakeholders use Larch. They set out what the platform is, how accounts and accounting connections work, the limits of the AI, and who is responsible for what.
Plain-language summary: Larch is a tool your firm uses to produce financial statements you control. Your firm and its clients keep ownership of their data; you grant us a limited license to process it to run the Service. Accounting connections are read-only. The AI assists but never publishes. A person at your firm signs off on everything a client sees. Larch's output is not professional advice.
By accessing or using the Larch website, manual, application, or related services (the Service), you agree to these terms. If you are using the Service on behalf of a firm or organization, you confirm you are authorized to accept these terms for it. The Service is operated by FourX Partners, [full legal entity name] ("Larch", "we", "us"). If you do not agree, do not use the Service.
Larch is a CFO-delivery platform. It connects to a client's accounting system, keeps financial data fresh on a nightly cycle, and produces management-grade financial statements that the firm controls line by line. Specific features may change as the Service develops, and some features may be offered as previews.
The Service is for business and professional use. You agree to provide accurate account information and to keep your credentials secure; you are responsible for activity under your account. Firm users operate engagements; client stakeholders receive scoped portal access. You are responsible for the users you invite and the access you grant them.
As between you and Larch, your firm and its clients retain ownership of the account data and client financial data processed through the Service (Customer Data). You grant Larch a limited, non-exclusive license to host, process, and transmit Customer Data solely to provide and support the Service. You are responsible for having the rights and consents needed to connect or upload Customer Data. Our handling of personal information is described in the Privacy Policy.
Where you connect an accounting system, the connection is read-only and made through the provider's authorization (OAuth where supported). Larch holds no credentials that can post to a client's books, and connections can be revoked from either side at any time. Your use of a connected provider remains subject to that provider's own terms.
Larch uses a language model to assist with drafting. The AI can propose observations and a first draft of the working brief; it does not publish to clients, modify books, or make decisions. Every client-visible surface requires a named human sign-off at your firm.
Larch is software, not your accountant. Output from the Service, including AI-assisted drafts, is provided to support your firm's professionals and is not accounting, audit, tax, legal, or financial advice. Your firm is responsible for reviewing, correcting, and approving all output and for anything it delivers to a client. You should not rely on the Service as a substitute for professional judgment.
We work to keep the Service available and reliable, but it is provided on an "as is" and "as available" basis, and we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and will use reasonable efforts to give notice of material changes that affect you.
Any fees, billing terms, and subscription details are set out in a separate order or written agreement between Larch and your firm. This page does not by itself create a payment obligation. Where a separate agreement and these terms conflict, the separate agreement governs.
Larch and its licensors own the Service, including the software, design, brand, and documentation. We grant you a limited, non-transferable right to use the Service during your term. These terms do not transfer any Larch intellectual property to you, and you retain your rights in Customer Data.
Each party may receive non-public information from the other. Each party agrees to protect the other's confidential information and to use it only to exercise its rights and meet its obligations under these terms.
To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet every requirement or that results obtained from it will be accurate or reliable without your review.
To the fullest extent permitted by law, Larch will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Where liability cannot be excluded, it is limited to the amount your firm paid for the Service in the twelve months before the event giving rise to the claim, or where no fees were paid, to a nominal amount.
You agree to indemnify Larch against claims arising from your misuse of the Service, your breach of these terms, or Customer Data you did not have the right to connect, upload, or process.
These terms apply while you use the Service. Either party may terminate as set out in any separate agreement, or, absent one, on reasonable notice. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period and then delete or anonymize it, subject to legal and audit retention. Terms that by their nature should survive (for example ownership, confidentiality, disclaimers, and limitation of liability) survive termination.
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Alberta have jurisdiction, subject to any mandatory rights you have under applicable law.
We may update these terms as the Service changes. When we do, we will revise the effective date above and give notice of material changes. Continued use after an update means you accept the revised terms.
